This article goes over the Intake Agent, an AI-powered assistant that automatically extracts key information from third-party contracts and any relevant links contained in those contracts.
Use Case
Use Intake Agent when launching workflows that accept third-party contracts to reduce manual data entry in long or complex contracts. As an example, you might have a procurement team onboarding a new SaaS vendor, Acme Inc., using the vendor’s own MSA and order form. You have a Vendor Purchase (SaaS) workflow in Ironclad with a launch form that includes:
- Counterparty name
- Counterparty address
- Contract value
- Initial term start date
- Initial term end date
- Auto-renewal? (Yes/No)
- Notice period for non-renewal
- Is personal data processed? (Yes/No)
- Data processing agreement (DPA) required? (Yes/No)
With Intake Agent, you could upload the Acme MSA and order form, and Intake Agent would automatically read the documents and propose answers for fields that you can review and confirm. As a result, the launch form is completed in a fraction of the time needed to complete this process manually.

What is Intake Agent?
Intake Agent is an agentic AI assistant that reads third‑party contracts and relevant links, then suggests answers for your launch form.
What it does:
- Extracts data for out-of-the-box and custom properties—No set up required. It finds dates, party names, termination clauses, contract values, and more.
- Applies reasoning to infer information not explicitly stated (e.g., data handling practices, security policies).
- Follows hyperlinks within contracts to analyze referenced documents and websites relevant to any content in your launch form.
- Recommends entities using fuzzy matching against your existing Ironclad entity records.
- Pre-fills your launch form with reasoning and citations for each field so you can verify the source.
Note: If a workflow supports both first-party and third-party papers, and Intake Agent is enabled for that workflow, you’ll be shown a paper type choice when starting that workflow. Intake Agent will run when you select third-party paper.
Turn on Intake Agent in Company Settings
This section walks you through enabling Intake Agent so you can use it to launch a workflow with third-party papers.
- Sign in to Ironclad as an admin.
- Click your profile icon in the top right corner.
- Select Company settings from the dropdown menu.
- Click Ironclad AI from the left sidebar menu.
- Under the Ironclad Agents section, toggle on Use intake agent to assist with counterparty paper workflows.
Once this setting is enabled, Intake Agent becomes available for any workflow that you enable it for.
Turn on Intake Agent for Specific Workflows
Next, enable Intake Agent on the workflows where you want to use it:
- Go to Workflow Designer.
- Select the workflow you want Intake Agent to assist with.
- Open the Document tab.
- Click the kebab menu (vertical ellipsis), in the top-right corner of the Document tab.
- Select Manage paper source.
- In the paper source settings, toggle the Intake Agent setting on for third-party paper.
- Click Save paper source.
Start a Workflow with Intake Agent Enabled
Note: Admins can instruct Intake Agent to skip specific fields by adding phrases like:
- "Do not fill"
- "Leave blank"
- "User only"
- "Manual entry"
...in the property help text. When Intake Agent detects any of these phrases, it won't propose a value for that field, ensuring it stays reserved for manual entry.
After setup, you can try launching a workflow that supports third-party paper:
- In Dashboard, select a workflow and click Use this workflow (or Start workflow).
- Depending on how your workflow is configured, you’ll see one of the following:
- Workflow accepts third-party paper only and Intake Agent is on
- This takes you directly to the contract upload step to begin the process.
- Workflow accepts both first-party and third-party paper and Intake Agent is on
- You’ll be asked to select between First-party paper or Third-party paper. Selecting Third-party paper to go to the Intake Agent upload step.
- Workflow accepts third-party paper only and Intake Agent is on
- Upload the third-party contract you want Intake Agent to analyze.
- Confirm that you’ve selected the correct document.
- Note: You can navigate away and return once Intake Agent has begun processing your third-party paper.
- Once analysis is complete, click Continue to review your launch form.
Now, you can review your launch form side-by-side with the contract viewer to go over Intake Agent’s suggestions.
As you scroll through the form, fields populated by the Intake Agent will show:
- A suggested value
- Reasoning that explains how the answer was determined
- One or more citations linking to the exact place in the contract where the information was found
You can click a citation to jump directly to the clause or section Intake Agent used. Intake Agent may not fill every field. If information isn’t present in the contract or in any URLs contained in the contract, the field is left blank for your or your stakeholder to manually complete.
Once you’re ready, you can submit the launch form. From there, you’ll be taken to your existing workflow page, just like any other workflow launch.
Note:
- If you’re using Ironclad entities and your launch form is configured to use them, Intake Agent will recommend entities by fuzzy matching against your existing records.
- Intake Agent won't fill fields that are locked because they're auto-filled from integrations or linked records.

What Intake Agent Extracts
Intake Agent uses your existing launch form configuration to find and propose answers for many different field types.
